Terms of service
Effective April 10, 2026. These Terms of Service (“Terms”) are a binding agreement between you and Wadai. They govern your access to and use of Wadai’s websites, applications, and related services (the “Service”). By creating an account, accessing, or using the Service, you agree to these Terms.
1. The Service
Wadai helps language learners and teachers pick conversation topics, collect vocabulary during lessons, and keep light lesson notes. The Service is meant to sit alongside your lesson (for example on Zoom or in person); it does not record or analyze your live conversation. The Service may include artificial intelligence to suggest topics and learning content. AI output may be incorrect or incomplete—you are responsible for how you use it in teaching and learning.
2. Eligibility and accounts
You must be old enough to enter a binding contract where you live, or use the Service with a parent or guardian’s consent where required. You are responsible for your login credentials and for activity under your account. Tell us promptly at the contact below if you suspect unauthorized access.
3. Acceptable use
You may not use the Service unlawfully or to harm others; attempt to break, overload, or bypass security or rate limits; probe or abuse our APIs or infrastructure; distribute malware; scrape or resell the Service without permission; misrepresent your identity; or use the Service to build a competing product using our proprietary data or systems. We may suspend or terminate access for violations or for legal or security reasons.
4. Your content
You retain any rights you have in text and other content you submit. You grant Wadai a worldwide, non-exclusive license to host, store, process, back up, and display that content as needed to operate and improve the Service for you. You represent that you have the rights needed to grant this license.
5. Third-party services
The Service relies on vendors for hosting, authentication, email, databases, storage, analytics, and AI inference. Their processing is subject to their terms and privacy notices. If you connect a third-party account (for example Google sign-in), that provider’s terms apply to their relationship with you.
6. Intellectual property
The Service, including its branding, design, and software, is owned by Wadai or its licensors and is protected by intellectual property laws. Except for the limited rights these terms grant you, we reserve all rights. Do not remove legal notices or misuse our trademarks.
7. Disclaimers
The Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
8. Limitation of liability
To the maximum extent permitted by law, Wadai and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or business. Our aggregate liability for any claim arising out of these terms or the Service is limited to the greater of (a) the fees you paid us for the Service in the twelve months before the claim, or (b) one hundred U.S. dollars (USD $100). Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the fullest extent permitted.
9. Indemnity
You will defend and indemnify Wadai against third-party claims and costs arising from your misuse of the Service, your content, or your breach of these terms, to the extent permitted by law.
10. Termination
You may stop using the Service at any time. We may suspend or terminate access if you breach these terms materially, if we must do so under law, or if we discontinue the Service (where reasonable, we will try to give advance notice). Provisions that by nature should survive will survive termination.
11. Changes
We may update these Terms. We will post the revised Terms and update the effective date at the top of this page. If a change is material, we will make reasonable efforts to notify you (for example by email or an in-app notice). Continued use of the Service after the effective date of the revised Terms constitutes acceptance. If you do not agree, you must stop using the Service.
12. Governing law and disputes
These terms are governed by the laws of the State of New York, United States, excluding its conflict-of-law rules. You agree to the exclusive jurisdiction of the state and federal courts located in New York County, New York, except where prohibited by applicable law.
